Terms of Service

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

2. The Service

Torvald AI provides sales tools including lead discovery, a CRM, AI-assisted outreach and email drafting, live call coaching, call recording and analysis, and landing-page building. Features, limits, and availability may change over time. We may add, modify, or discontinue features at our discretion.

3. Subscriptions, Trials, and Billing

• The Service is offered on a free trial and paid subscription basis. Plan features and prices are described on our pricing page and may change with notice.
• Paid subscriptions are billed in advance on a recurring monthly basis through our third-party payment processor. By subscribing, you authorize us to charge your payment method on each renewal until you cancel.
• You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
• Except where required by law or stated in our Refund Policy, payments are non-refundable. Refunds and cancellations are governed by our Refund & Cancellation Policy.
• If a payment fails, we may suspend or downgrade your access until payment is resolved.

4. Acceptable Use

You agree not to use the Service to:

• Violate any law or regulation, including telemarketing, anti-spam (e.g., CAN-SPAM, TCPA), data-protection, and call-recording laws.
• Send unsolicited bulk messages, spam, or deceptive communications.
• Upload or process data you do not have the right to use, or infringe anyone's intellectual property or privacy rights.
• Reverse engineer, scrape, overload, or attempt to gain unauthorized access to the Service or its systems.
• Resell or sublicense the Service without our written permission.

5. Your Data and Content

You retain ownership of the data and content you submit to the Service, including your contacts, call recordings, and generated materials ("Your Content"). You grant Torvald a limited license to host, process, and use Your Content solely to provide and improve the Service. You are responsible for the legality of Your Content and for having any necessary rights and consents to use it within the Service. Our handling of personal data is described in our Privacy Policy.

6. AI-Generated Output

The Service uses third-party AI models to generate suggestions, drafts, coaching, summaries, and other output. AI output may be inaccurate, incomplete, or unsuitable for your situation. You are solely responsible for reviewing and deciding how to use any output. Torvald does not guarantee the accuracy, legality, or effectiveness of AI-generated content, and such output does not constitute legal, financial, or professional advice.

7. Call Recording and Communications Compliance

The Service includes calling, transcription, and recording features. Laws governing the recording of calls vary by jurisdiction, and some require the consent of all parties. You are solely responsible for understanding and complying with all applicable recording, consent, and notification laws when you use these features, including obtaining any required consent from call participants. Torvald is not responsible for your failure to comply.

8. Third-Party Services

The Service relies on third-party providers (including AI, telephony, data-enrichment, email, hosting, and payment providers). Your use of the Service may be subject to their terms, and we are not responsible for the acts, omissions, or availability of third parties.

9. Intellectual Property

The Service, including its software, design, branding, and content (excluding Your Content), is owned by Torvald AI and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, or create derivative works of the Service.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including Sections 5, 6, 9, 11, 12, 13, and 14) will survive termination.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any results, leads, or outcomes will be achieved.

12. Limitation of Liability

To the maximum extent permitted by law, Torvald AI and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim will not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Torvald AI from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law, including communications and recording laws.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws principles. Any dispute that cannot be resolved informally will be subject to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in English, with judgment entered in any court of competent jurisdiction. Either party may seek injunctive relief in court to protect intellectual property or confidential information.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date and, where appropriate, communicated by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
