Affiliate Program Terms

1. Eligibility

The Program is open to individuals and businesses with a relevant audience. You must be at least 18 years old and legally capable of entering a binding contract. You are responsible for providing accurate account and payout information and keeping it current. Torvald AI may approve or decline any application at its sole discretion, without obligation to provide a reason.

2. Referral Tracking

Upon approval, you will receive a unique referral link used to track customers you refer. A referral is attributed to you when a new customer subscribes to a paid Torvald plan within 60 days of clicking your link (the "Cookie Window"). Attribution is determined on a last-click basis. Our tracking records are final and conclusive for purposes of determining commissions. Self-referrals — using your own link to create or upgrade your own account — do not qualify for commission.

3. Commissions

You earn a 30% recurring commission on the net subscription revenue of each qualifying customer you refer, for as long as that customer maintains an active paid subscription. Commissions are calculated on amounts actually received by Torvald AI, net of applicable taxes, refunds, chargebacks, discounts, and payment processing fees.

If a referred customer cancels, downgrades, receives a refund, or initiates a chargeback, the corresponding commission will be adjusted or reversed. Torvald AI reserves the right to claw back commissions found to result from fraud, policy violations, or abuse, for a period of up to 12 months following the original payment.

4. Payouts

Commissions are paid monthly in USD once your accrued, confirmed balance reaches the $50.00 USD minimum payout threshold. Balances below the threshold roll over to the following month until the minimum is met. Payouts are sent to your connected payout account on file. A holding period of up to 30 days may apply to allow for refund and chargeback resolution before a commission is confirmed.

You are solely responsible for all taxes, duties, and withholdings owed on commissions you receive. Torvald AI is not responsible for any tax filings or obligations on your behalf. If you believe a commission has been incorrectly calculated or withheld, you must notify us at affiliates@torvald.ai within 30 days of the relevant payout date. We will review and respond within 30 days of receiving your notice.

5. Acceptable Promotion

You agree to promote Torvald AI honestly, accurately, and in compliance with all applicable laws. The following are strictly prohibited:

• Sending spam or unsolicited messages, or using deceptive, misleading, or false advertising in any form.
• Bidding on Torvald trademarks or branded keywords in paid search, or creating ads that impersonate Torvald AI.
• Making earnings claims, performance claims, or product claims that are untrue or that we have not expressly authorized in writing.
• Using cookie stuffing, forced clicks, malware, bots, or any other fraudulent or automated method to generate referrals.
• Offering unauthorized rebates, cashback, or discounts, or distributing your link through coupon, deal, or loyalty sites without prior written approval.
• Promoting Torvald AI on sites or platforms containing illegal content, hate speech, explicit adult content, graphic violence, or other objectionable material.

Torvald AI reserves the right to determine, in its sole discretion, whether a violation of this section has occurred.

6. Trademarks and Content

We grant you a limited, revocable, non-exclusive, non-transferable license to use Torvald AI names, logos, and approved marketing assets solely to promote the Program in accordance with these Terms. All intellectual property remains the exclusive property of Torvald AI. You may not modify our assets, create derivative works, or represent any affiliation, partnership, or endorsement beyond your status as an independent affiliate.

7. Relationship of the Parties

You participate in the Program as an independent contractor. Nothing in these Terms creates or implies an employment, agency, partnership, franchise, or joint venture relationship between you and Torvald AI. You have no authority to make commitments, representations, or agreements on behalf of Torvald AI.

8. Non-Disparagement

During your participation in the Program and for 12 months following termination, you agree not to make, publish, or encourage any false, misleading, or materially disparaging statements about Torvald AI, its products, services, employees, or officers, in any public forum, including social media, review platforms, or press. This section does not restrict honest opinions or truthful statements about your experience with our products.

9. Term and Termination

Either party may terminate participation in the Program at any time, for any reason, with or without notice. Upon termination, your referral link will be deactivated and you will forfeit the right to earn further commissions. Any commissions already confirmed and payable as of the termination date will be paid out at the next regular payout cycle, provided no fraud or policy violations are associated with those commissions.

Torvald AI may withhold, reverse, or forfeit commissions associated with fraud, abuse, or any violation of these Terms. Sections 3 (commission adjustments), 4 (payouts owed), 6 (trademarks), 7 (relationship), 8 (non-disparagement), 10 (disclaimer), 11 (limitation of liability), and 12 (governing law) survive termination.

10. Changes to the Program

Torvald AI may modify these Terms, commission rates, the Cookie Window, payout thresholds, or any other aspect of the Program at any time. For material changes — including changes to commission rates or the Cookie Window — we will provide at least 30 days' written notice by posting the updated Terms on this page and emailing your registered address. Your continued participation after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to material changes, your sole remedy is to terminate your participation before the changes take effect.

11. Disclaimer

The Program is provided "as is" and "as available" without warranties of any kind, express or implied. Torvald AI does not guarantee any particular level of traffic, conversions, referrals, or earnings. We make no representations that the Program will be uninterrupted or error-free.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Torvald AI and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Program, even if advised of the possibility of such damages. Our total aggregate liability to you will not exceed the total commissions paid to you in the three calendar months immediately preceding the claim giving rise to liability.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Program that cannot be resolved informally will be subject to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with proceedings conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

14. Miscellaneous

These Terms constitute the entire agreement between you and Torvald AI with respect to the Program and supersede all prior agreements and understandings. If any provision is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision does not constitute a waiver of future enforcement. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
